These Terms of Service for Creators ("Terms") constitute a legally binding agreement between you, as a Creator (as defined below), and the legal entity Jelena Bradić PR Studio 98, with registered office at Vodovodska 69/24, Belgrade, Serbia, registration number 67977700, VAT number 114950878, operating under the business name Linkyco ("Linkyco", "we", "us" or "our"), relating to your use of the Linkyco affiliate network available at the domain linkyco.com ("Platform" or "Network").
By submitting a registration request on the Platform and accepting these Terms (by checking the checkbox or clicking the "I Accept" button), you enter into a legally binding agreement with Linkyco in accordance with Article 26 of the Law on Obligations and Article 12 of the Law on Electronic Commerce of the Republic of Serbia.
Please read these Terms carefully before registering. If you do not agree with any provision, do not register on the Platform.
For the purposes of these Terms, the following terms have the meanings set out below:
"Creator" / "Influencer" — a legal entity (company or sole trader) registered in the Republic of Serbia that registers on the Platform for the purpose of promoting Advertisers' products and services and earning commissions. The term Creator also refers to the natural person representing that legal entity as a statutory representative or authorised person.
"Advertiser" / "Brand" — a legal entity that engages Creators through the Platform to promote its products and services.
"Platform" — the Linkyco software platform available at the domain linkyco.com, including all functionalities, dashboard, tracking system and related tools.
"Campaign" / "Program" — an individual affiliate marketing campaign of an Advertiser on the Platform, with defined Campaign Terms.
"Campaign Terms" / "Program Terms" — the specific terms of each Campaign set by the Advertiser on the Platform (including commission rate, cookie duration, product categories, geographic restrictions and other requirements).
"Action" — a sale, lead, click or other event that the Advertiser has designated as the basis for commission calculation.
"Commission" — the amount payable to the Creator for achieved and approved Actions.
"Link" — the unique affiliate link generated by the Platform for the Creator for the purpose of tracking Actions.
"Master Network" — an international affiliate network within which Linkyco may act as a sub-publisher.
"Promotional Space" — any channel used by the Creator for promotion (website, Instagram, TikTok, YouTube, blog, newsletter, etc.).
"Visitor" / "Customer" — a natural person who follows a Link and/or performs an Action.
To register as a Creator on the Linkyco Platform, you must meet the following requirements:
You must be of legal age (at least 18 years old);
You must be a registered legal entity (company or sole trader) in accordance with the regulations of the Republic of Serbia, with active status in the Business Registers Agency (BRA);
You must have an active business account with a commercial bank in the Republic of Serbia;
You must not be engaged in the promotion of content that includes: pornography, sexually explicit content, gambling and betting, tobacco and tobacco products, alcoholic beverages, narcotic drugs, weapons or any other content whose advertising is prohibited or restricted under applicable regulations of the Republic of Serbia.
Linkyco reserves the right to refuse registration without being required to provide reasons.
Registration is completed by submitting a request through the registration form on the Platform, which requires entry of the following data:
Name and surname of the representative;
Email address;
Password;
Business name of the legal entity;
VAT number;
Registration number;
URL of the primary social media profile;
Number of followers.
Following submission, Linkyco performs a manual review and approves or rejects the registration in accordance with its internal criteria. The decision will be communicated by email.
By accepting these Terms, the Creator confirms that all data provided is accurate, complete and up to date, and undertakes to update it without delay in the event of any change.
Each Creator is entitled to one account on the Platform.
The Creator is responsible for maintaining the confidentiality of their login credentials (username and password) and for all activities that take place on their account.
In the event of suspected unauthorised access, the Creator must immediately notify Linkyco at privacy@linkyco.com.
Following approval of registration, the Creator may view all available Campaigns on the Platform and submit requests to participate in specific Campaigns.
The Advertiser retains the right to restrict a Campaign to specific Creators, to approve or reject a Creator's request to participate, and to remove a Creator from a Campaign at any time, at its sole discretion.
Each Campaign has its own Campaign Terms set by the Advertiser on the Platform.
Campaign Terms include, among other things:
Commission rate (percentage of sale or fixed amount per Action);
Cookie duration;
Product categories;
Permitted methods of promotion;
Any geographic restrictions.
By applying for a Campaign, the Creator accepts the Campaign Terms.
Campaign Terms form an integral part of these Terms and apply as a supplement to the General Provisions. In the event of any inconsistency between these Terms and the Campaign Terms, the Campaign Terms shall apply for the specific Campaign.
The Advertiser may amend the Campaign Terms (including the commission rate) at any time.
Amendments take effect immediately upon publication on the Platform and are not applied retroactively — Actions achieved prior to the amendment are calculated under the previous terms.
The Creator is responsible for regularly checking the Campaign Terms of the Campaigns in which they participate.
If the Creator does not agree with the amendments, they may leave the Campaign at any time.
The Platform uses tracking technology (including affiliate cookies and unique identifiers) to track clicks, conversions and other Actions.
The cookie duration for each Campaign is defined in the Campaign Terms and will be visible to the Creator before applying for the Campaign.
Linkyco applies a "last click" attribution model — the Commission is awarded to the Creator whose Link was the last one followed by the Visitor before the Action was completed, unless the Campaign Terms provide for a different attribution model.
The Platform's tracking system is the sole basis for determining and calculating Actions and Commissions. No other method of recording (external analytics, screenshots, etc.) will be accepted as evidence of an achieved Action.
Commissions are calculated on the basis of approved (validated) Actions, in accordance with the Campaign Terms.
The Commission amount may be set as a fixed percentage of the sale value or as a fixed amount per Action, depending on what the Advertiser has defined in the Campaign Terms.
The Advertiser has the right to approve or reject each Action (sale or lead) within 14 (fourteen) days of the Action being achieved ("validation period").
Exceptionally, the validation period may be extended to a maximum of 30 (thirty) days if the Advertiser provides its customers with a complaints or returns period exceeding 14 days.
If the Advertiser neither approves nor rejects an Action within the validation period, the Action shall be deemed automatically approved upon expiry of that period.
The Advertiser may reject an Action for legitimate reasons, including but not limited to: return of the product by the customer, cancellation of the order, failure to meet Campaign conditions, fraudulent or manipulative Action.
Payment of approved Commissions is made once a month, at the end of the billing period, to the Creator's business account as specified on the Platform.
At the end of each billing period, Linkyco generates a monthly commission statement containing an overview of all approved Actions and the corresponding Commission amounts, and delivers it to the Creator via the Platform or by email.
The Creator is required to submit an invoice to Linkyco within 7 (seven) days of receiving the statement, corresponding to the amount stated in the statement.
The invoice must contain all mandatory elements required under the Accounting Act and relevant tax regulations.
Payment of the Commission is made exclusively upon receipt of a correct and complete invoice.
If the Creator does not submit the invoice within the specified period, Linkyco reserves the right to withhold payment until receipt of a correct invoice, without any obligation to pay interest or any other compensation for the period of withholding.
The Creator is solely responsible for the correct issuance of invoices in accordance with their tax status (lump-sum taxation, self-assessment or VAT system).
Linkyco does not provide tax advice and bears no liability for incorrectly issued invoices.
Payment is conditional upon the accumulated amount of approved Commissions having reached the minimum payment threshold of 10,000.00 RSD (ten thousand dinars).
If the accumulated amount has not reached the minimum threshold, it is carried over to the following billing period.
Important: Payment of Commissions is conditional upon prior receipt of the corresponding payment from the Advertiser.
If the Advertiser fails to pay Linkyco, Linkyco is not obligated to pay the Commission to the Creator for those Actions.
Linkyco will make reasonable efforts to collect the outstanding amount from the Advertiser, but bears no liability for the Advertiser's failure to fulfil its obligations.
All Commission amounts stated on the Platform are exclusive of VAT and other taxes.
The Creator is solely responsible for the payment of all taxes, contributions and other public levies in accordance with applicable tax regulations of the Republic of Serbia.
Linkyco does not provide tax advice and bears no liability for the Creator's tax obligations.
The Creator undertakes to:
use the Platform in accordance with these Terms, the Campaign Terms and applicable regulations of the Republic of Serbia;
maintain the accuracy and currency of all data provided on the Platform, including legal entity data, contact details and payment details;
ensure the proper functioning of all Links on their Promotional Spaces;
comply with all terms and restrictions set by the Advertiser in the Campaign Terms;
respect the copyrights, trademarks and other intellectual property rights of the Advertiser, Linkyco and third parties;
not use data and information obtained through the Platform for any purpose other than the fulfilment of obligations under these Terms.
The Creator is solely responsible for ensuring that their promotional content complies with all applicable regulations of the Republic of Serbia, including but not limited to:
The Advertising Act — including the obligation to clearly label sponsored, paid and affiliate content;
The Consumer Protection Act — prohibition of false or misleading advertising;
The Electronic Commerce Act — obligation of transparency in commercial communications;
The Law on Personal Data Protection (LPDP) and GDPR — where the Creator independently collects data on Visitors/Customers through their own channels.
Note: Linkyco bears no liability for the non-compliance of the Creator's promotional content with applicable regulations.
The Creator bears full responsibility for any consequences of legal violations, including penalties imposed by competent authorities and claims by third parties.
The Creator expressly undertakes not to engage in any of the following activities.
Violation of any of the prohibitions set out below constitutes a material breach of these Terms and grounds for immediate suspension or permanent termination of the cooperation.
Cookie stuffing — placing affiliate cookies without the Visitor's knowledge or conscious action;
Generating fake clicks, conversions or other artificial traffic, including the use of bots, scripts or automated tools;
Incentivised clicks — offering rewards, discounts or other incentives to Visitors solely for clicking on a Link (unless the Advertiser expressly permits this in the Campaign Terms);
Redirect fraud — automatically redirecting Visitors to affiliate links without their knowledge or consent;
Manipulation of the attribution model or attempts to claim conversions that are not the result of legitimate promotion.
Sending unsolicited commercial messages (spam) via email, SMS, social media or any other channel;
Bidding on the Advertiser's brand keywords in paid search campaigns (Google Ads, Bing Ads, etc.), unless the Advertiser expressly permits this in the Campaign Terms;
Purchasing fake or artificial traffic (bot traffic, click farms) to inflate statistics;
Use of adware, spyware, malware or any other malicious software;
Typosquatting — registering domains similar to the Advertiser's domain for the purpose of intercepting traffic;
Placing Links on websites containing illegal, pornographic, violent or harmful content.
Publishing false reviews or untrue claims about the Advertiser's products or services;
Comparative advertising involving unsubstantiated discrediting of a competing brand (e.g. "Brand A is bad, use Brand B") — prohibited under Article 10 of the Advertising Act;
Creating content that accurately or approximately imitates the official communications of the Advertiser, thereby misleading Visitors as to the origin of the content;
Falsely representing that the Creator has a business relationship with the Advertiser beyond the scope of the affiliate cooperation;
Publishing AI-generated content that misleads Visitors as to the Creator's identity, experience or authenticity;
Collecting, storing or using personal data of Visitors/Customers without an appropriate legal basis.
The Creator may not use the Platform, its data or functionalities to build a competing product or service;
The Creator may not attempt to reverse-engineer, decompile or copy the tracking code or any other element of the Platform;
The Creator may not transfer, assign or make their account available for use by a third party.
The Creator may not engage, recruit or otherwise involve third parties (sub-publishers) to carry out promotional activities on their behalf, for their account or using their account via Links generated on the Platform.
The Creator may not share Commissions with third parties who are not registered on the Platform as independent Creators.
Each Action must be the direct result of the personal promotional activity of the registered Creator.
Violation of this provision constitutes a material breach of the Terms.
The Creator may simultaneously be a member of other affiliate networks. These Terms do not impose an exclusivity obligation. However, the Creator may not use data, materials or confidential information obtained through the Linkyco Platform for the benefit of a competing network.
The Platform, its design, software, tracking code, databases, logos, trademarks and all other content created by Linkyco constitute the intellectual property of Linkyco or its licensors.
The Creator is granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely in accordance with these Terms and for the duration of the cooperation.
The Advertiser may make promotional materials (images, logos, texts, videos, etc.) available to the Creator through the Platform.
The Creator may use these materials exclusively within and for the purposes of the relevant Campaign, without modification, and in accordance with the Campaign Terms.
The Creator is required to remove the Advertiser's materials from their Promotional Spaces immediately upon ceasing participation in the Campaign or upon the request of the Advertiser or Linkyco.
The Creator retains all copyright in content they independently create.
However, the Creator hereby grants Linkyco a non-exclusive, royalty-free, time-unlimited licence to use the Creator's name, their legal entity name, logo, publicly available statistics and a description of the cooperation (case study) for Linkyco's promotional purposes (e.g. presentations for brands, website materials, Linkyco's social media).
Advertisers do not have the right to repost, redistribute or otherwise use content created by the Creator, except where this has been expressly agreed between the Creator and the Advertiser in a separate agreement.
Linkyco does not mediate and bears no liability for any content licensing arrangements between the Creator and the Advertiser.
The Creator is required to maintain the confidentiality of all information received through the Platform, including but not limited to: data about Advertisers, terms of cooperation, commission rates, technical data about the Platform and Linkyco's business information.
The confidentiality obligation does not apply to information that is publicly available (unless it became publicly available through a breach of the confidentiality obligation), information independently developed by the Creator, or information the Creator is required to disclose by order of a competent authority.
The confidentiality obligation remains in force for 3 (three) years after the termination of the cooperation.
Linkyco makes reasonable efforts to ensure the uninterrupted operation of the Platform and the accuracy of the tracking system, but does not guarantee that the Platform will operate without interruptions, errors or technical issues.
Linkyco bears no liability for:
the acts, omissions or failure to fulfil obligations by Advertisers (including unjustified rejection of conversions or delays in payment);
the accuracy, legality or quality of the Advertiser's products and services;
loss of profit, anticipated savings, reputation, data or any indirect, consequential or non-material damage;
technical issues on the part of third parties (hosting providers, internet providers, social media platforms);
incorrect integration of the tracking code by the Advertiser.
Linkyco's total liability to the Creator on any basis in connection with these Terms is limited to the total amount of Commissions paid to the Creator in the 12 (twelve) month period preceding the occurrence of the damage.
The Creator undertakes to indemnify Linkyco for any damages, costs and expenses (including reasonable legal fees) arising from the Creator's breach of these Terms, including but not limited to: violations of the prohibitions in Section 7, infringement of third-party intellectual property rights, and violations of applicable advertising and data protection regulations.
Linkyco may cooperate with international affiliate networks (master affiliate networks) as a sub-publisher for the purpose of expanding the Advertiser catalogue.
The Creator accepts that in such cases, certain data associated with the Creator (such as their unique system identifier and conversion data) may be forwarded to the master network and the end Advertiser for the purposes of technical tracking and commission calculation.
Campaigns conducted through master networks may be subject to additional terms of that network, of which the Creator will be notified through the Platform.
Linkyco and the master network may have the status of joint controllers of personal data within the meaning of Art. 43 of the LPDP and Art. 26 of the GDPR.
Given that the sharing of the aforementioned data is technically necessary for the functioning of the Platform, including conversion tracking and commission calculation in cooperation with master affiliate networks, this processing constitutes an inseparable part of the provision of the Linkyco Platform service.
By accepting the Terms of Service, the Creator expressly accepts such data processing. Selective opt-out from such processing is not possible, and if the Creator does not agree, the only option is to not use the Platform, or to cease using it.
These Terms enter into force on the date of approval of the Creator's registration and remain in effect until terminated in accordance with this section.
The Creator may terminate the cooperation and delete their account at any time, without notice and without being required to provide reasons, by sending a request to privacy@linkyco.com or through the option on the Platform.
Upon termination, Linkyco will pay all approved Commissions that have reached the minimum payment threshold.
Linkyco may terminate the cooperation with the Creator at any time, with 30 (thirty) days' notice, without being required to provide reasons.
Upon termination, Linkyco will pay all approved Commissions.
Linkyco may immediately terminate the cooperation, without notice, by written notification to the Creator, in the following cases:
material breach of these Terms (including any prohibition under Section 7);
repeated breach of Campaign Terms following a prior warning;
provision of false or misleading data during registration or in the course of the cooperation;
failure to fulfil legal obligations (including tax obligations);
commencement of bankruptcy proceedings, liquidation proceedings or cessation of the Creator's business activities;
inactivity on the Platform for more than 6 (six) months (no Actions achieved and no account access).
In the event of termination of cooperation by Linkyco on the basis of Section 13.4, all unpaid Commissions as at the date of termination are forfeited and the Creator irrevocably waives the right to claim them.
This amount constitutes the pre-estimated damage suffered by Linkyco as a result of the breach of the Terms.
Linkyco may temporarily suspend the Creator's account in the event of reasonable suspicion of a breach of these Terms, pending the completion of an investigation.
During suspension, the Creator does not have access to the Platform, Links are deactivated, and payments are withheld.
Upon termination of the cooperation, regardless of the grounds, the Creator is required to:
immediately remove all Links from their Promotional Spaces;
immediately remove all Advertiser materials;
cease using the trademarks, logos and other identifiers of Linkyco and the Advertisers;
maintain confidential information in accordance with Section 10.
The processing of the Creator's personal data is carried out in accordance with Linkyco's Privacy Policy, available at https://linkyco.com/privacy-policy, which forms an integral part of these Terms. The Creator is required, to the extent that they independently collect or process personal data of Visitors or Customers on their Promotional Spaces, to do so in accordance with the Law on Personal Data Protection, the GDPR (where applicable) and other applicable regulations. Linkyco bears no liability for the processing of personal data carried out by the Creator on their own channels.
Linkyco reserves the right to amend these Terms at any time.
The Creator will be notified of material amendments by email and/or by publication on the Platform, at least 7 (seven) days before the amendments take effect.
Continued use of the Platform after the amendments take effect shall be deemed acceptance of the amended Terms.
The Creator may not transfer their rights and obligations under these Terms to a third party without the prior written consent of Linkyco.
Linkyco may transfer its rights and obligations to an affiliated entity or legal successor.
These Terms do not create a partnership, joint venture, agency or employment relationship between Linkyco and the Creator.
The Creator is not authorised to assume obligations on behalf of Linkyco.
If any provision of these Terms is found to be void or unenforceable, this shall not affect the validity and enforceability of the remaining provisions.
The void provision shall be replaced by a valid provision that most closely reflects the economic intent of the original provision.
Neither party shall be liable for failure to fulfil obligations caused by circumstances beyond their reasonable control (force majeure), including but not limited to: natural disasters, wars, pandemics, work stoppages, interruptions to internet infrastructure, acts of state authorities and similar events.
These Terms are governed by the law of the Republic of Serbia.
The parties shall endeavour to resolve all disputes arising in connection with these Terms by mutual agreement.
If an amicable resolution is not possible, the competent court in the Republic of Serbia with jurisdiction over the registered seat of Linkyco shall have jurisdiction.
These Terms, together with the Privacy Policy and the Campaign Terms, constitute the entire agreement between Linkyco and the Creator with respect to the subject matter of these Terms and supersede all prior oral or written agreements.
